These Terms and Conditions govern access to and use of seydlers.com, Seydlers materials, and related offerings. They are intended for general website and business-use purposes and may be supplemented by written proposals, invoices, statements of work, or other agreements for specific engagements.
1. Acceptance of These Terms
By accessing seydlers.com, using the site, submitting an inquiry, purchasing materials, or engaging Seydlers for work, you agree to these Terms and Conditions. If you do not agree, do not use the site or related materials.
2. About Seydlers
Seydlers provides agentic finance and intelligence work, including financial models, investment memo support, market analysis, strategic frameworks, publications, and related materials for the agentic economy. References to “Seydlers,” “we,” “us,” or “our” refer to Seydlers and its operators.
3. Informational Nature of Content
Website content, publications, models, memos, frameworks, templates, commentary, and other materials are provided for general informational and business-planning purposes. They do not constitute legal, tax, accounting, investment, financial, regulatory, technical, cybersecurity, or other professional advice. You should consult qualified professionals before relying on materials for decisions involving legal, financial, regulatory, security, or operational risk.
4. No Client Relationship by Website Use
Use of the site, reading Seydlers materials, downloading resources, or submitting an inquiry does not create a client, advisory, fiduciary, attorney-client, accountant-client, or other professional relationship. A client relationship exists only if Seydlers accepts an engagement in writing.
5. Engagements, Proposals, and Deliverables
Specific work may be governed by a written proposal, statement of work, order form, invoice, or other written agreement. If there is a conflict between these Terms and a signed written agreement for a specific engagement, the written agreement controls for that engagement. Deliverables may include models, memos, frameworks, research notes, strategy documents, or other agreed work product.
6. User Responsibilities
You are responsible for the accuracy, completeness, and lawfulness of any information, assumptions, data, documents, or materials you provide. You are responsible for reviewing all outputs, assumptions, calculations, and recommendations before using them. Seydlers is not responsible for decisions made on the basis of incomplete, inaccurate, or outdated information supplied by you or third parties.
7. Payments, Fees, and Refunds
Fees, payment timing, taxes, and refund terms are stated in the applicable proposal, invoice, checkout page, or written agreement. Unless a written agreement states otherwise, paid services and digital materials are non-refundable once work begins, access is granted, or a deliverable is provided.
8. Intellectual Property
The site, branding, text, graphics, publications, models, templates, frameworks, diagrams, and other materials are owned by Seydlers or its licensors and are protected by intellectual property laws. You may not copy, resell, redistribute, publish, train machine-learning systems on, or create derivative commercial products from Seydlers materials without written permission, except where expressly allowed in a written agreement.
9. License to Client Deliverables
Unless a written agreement states otherwise, clients receive a limited, non-exclusive, non-transferable license to use paid deliverables internally for their own business, fundraising, diligence, analysis, or planning purposes. Seydlers retains ownership of its underlying methods, frameworks, templates, know-how, reusable structures, and pre-existing materials.
10. Confidentiality
If you provide confidential business information as part of an engagement, Seydlers will use reasonable care to protect it and will use it only for the relevant engagement or as otherwise permitted by law or written agreement. Do not submit highly sensitive, regulated, classified, or legally privileged information unless we have agreed in writing to receive it.
11. Third-Party Services and Links
The site or deliverables may refer to third-party tools, platforms, data sources, model providers, payment processors, websites, or services. Seydlers does not control third-party services and is not responsible for their content, availability, security, pricing, policies, or performance.
12. No Guarantees
Seydlers does not guarantee fundraising success, investment outcomes, revenue growth, cost reduction, regulatory compliance, technical safety, market adoption, model performance, or any business result. Financial models, projections, and strategic analysis are inherently uncertain and depend on assumptions that may change.
13. Disclaimers
The site and materials are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Seydlers disclaims all warranties, express or implied, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.
14. Limitation of Liability
To the fullest extent permitted by law, Seydlers will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages, or for loss of data, revenue, opportunity, goodwill, or business interruption. To the fullest extent permitted by law, Seydlers’ total liability for any claim will not exceed the amount you paid to Seydlers for the specific product or engagement giving rise to the claim, or USD $100 if no amount was paid.
15. Indemnification
You agree to indemnify and hold harmless Seydlers from claims, losses, liabilities, damages, costs, and expenses arising from your use of the site or materials, your breach of these Terms, your violation of law, or information you provide to Seydlers.
16. Changes to the Site and Terms
Seydlers may update, modify, suspend, or discontinue the site, materials, offerings, or these Terms at any time. Updated Terms will be posted on the site with a revised date. Continued use after changes means you accept the updated Terms.
17. Governing Law
These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to conflict-of-law rules. Venue for disputes will be in the state or federal courts located in Pennsylvania, unless applicable law requires otherwise.
